Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On December 4, 2018, the Board of Directors (the Board) of 2U, Inc., a Delaware corporation (the Company) increased its size to twelve (12) members in accordance with the Companys Seventh Amended and Restated Certificate of Incorporation, and appointed Alexis Maybank as a Class III Director to fill the vacancy created by such increase in size, both effective as of December 4, 2018. Ms. Maybanks term will expire at the Companys 2020 Annual Meeting of Stockholders. Ms. Maybank will be compensated in accordance with the Companys director compensation program for non-employee directors. As of the filing of this Form 8-K, the Board has not determined the committee assignments for Ms. Maybank.
The Company issued a press release announcing that Ms. Maybank will join the Company as a Class III Director. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated by reference.
